Mexico's Electricity Sector Law allows power plants to be developed jointly by the State and private parties. Under mixed investment, the public partner holds at least 54% of the project and private capital provides the rest, with terms of up to 30 years. GIS Power develops, builds and operates projects that can fit these schemes.

The legal framework

Electricity Sector Law, chapter V

Article 38 of the Electricity Sector Law (LSE) provides that power plants developed jointly by the State and private parties must use one of three schemes: long-term production, mixed investment, and any other scheme defined by the Regulations or by provisions issued by the Ministry of Energy (SENER).

These schemes must follow the binding planning programs that SENER issues for the National Electric System. The guidelines for mixed schemes were published in the DOF on 28 January 2026.

When it is not a fit

  • If your goal is to supply your own plant: self-supply exists for that, with no state partner.
  • If, as an investor, you need majority control of the project: under mixed investment, the public partner holds the majority.
  • If the project does not fit the binding planning of the National Electric System.

Mixed investment

The rules of mixed investment

What the Law and its Regulations say
01

At least 54% public

The public partner must hold a direct or indirect stake of at least 54% in the project (LSE art. 40 sec. I).

02

On common share capital

That 54% is measured on common share capital and must be formalized within 180 business days after the start of commercial operation (Regulations, art. 85).

03

Up to 30 years

Mixed schemes have a maximum term of 30 years (Regulations, art. 73).

04

Preferential purchase

The public partner may acquire, on a preferential basis, the energy and associated products produced (LSE art. 40 sec. II).

05

Market sales

Energy the public partner does not use can be sold in the Wholesale Electricity Market, with it as representative (LSE art. 40 sec. III).

06

Binding planning

The project must follow SENER's planning programs (LSE art. 38).

Electricity Sector Law, DOF 18-Mar-2025, arts. 38 and 40; LSE Regulations, DOF 3-Oct-2025, arts. 73 and 85. Not to be confused with the 54% of injected energy in art. 12.

In a mixed scheme, private capital can reach 46%, with terms of up to 30 years

Minimum public-partner stake in mixed-development generation projects.

Takeaway

The law opens the door to private capital as the State’s minority partner, with a public counterparty and an infrastructure horizon.

Electricity Sector Law, art. 40 (DOF Mar 18, 2025); Regulations, art. 73 (DOF Oct 3, 2025).

Which projects qualify

Utility-scale generation within the sector’s planning
01

System scale

Plants that deliver power to the National Electric System, such as solar parks with storage (BESS) or firm generation plants.

02

Within the plan

The project must sit within SENER’s binding planning programs (LSE art. 38).

03

With a partner that operates

The private partner develops, builds and operates over the term, and provides its share of the capital.

The role of GIS Power

Development, construction and operations on the private side

In a mixed scheme, the private partner brings what makes the project work: site development, engineering, construction, financing of its share of the equity and long-term operations.

GIS Power develops projects under private schemes, such as self-supply and energy contracts with users, and under mixed schemes when the project and sector planning allow it. In both cases it applies its signature: solar generation with battery storage (BESS) and a project company structured under the applicable regulation.

  1. Development

Site, resource, permits, social impact and interconnection.

  2. Structuring

A project company (SPV) under the guidelines of the applicable scheme.

  3. Construction

EPC with one accountable party and financing of the private share.

  4. Operations

Construction and operations for the term of the contract.

Frequently asked questions

Is the 54% of the energy or of the project?

Of the project: the public partner must hold at least a 54% stake, measured on common share capital (LSE art. 40; Regulations, art. 85). It is not the 54% of injected energy in art. 12 of the Law.

How long does a mixed scheme last?

Up to 30 years (LSE Regulations, art. 73).

Who buys the energy?

The public partner may acquire it on a preferential basis. What it does not use can be sold in the Wholesale Electricity Market, with it as representative (LSE art. 40).

What if the project is purely private?

If the power is for your own plant, park or data center, the route is a private scheme: self-supply under an energy contract or a BOOT, with no public partner. See Contracting models.
